Abstract
The rule that regulates capital companies provides specific formal requirements for companies whose securities have been admitted to trading on a regulated market. These requirements, directly or indirectly, involve the use of new information and communication technologies. This is the case of the duty to create a corporate electronic page, the announcement of the call for the General Meeting among the shareholders and the necessary information that must be included on the website or the proposed resolutions. These duties show the legislator’s interest in including new technologies in the corporate practice of listed companies. In particular, as a mechanism for increasing transparency and improving the functioning of companies and guaranteeing the rights of partners.However, it may be questioned whether these express duties can be extended to other capital companies in the same sense. And, in addition, if it will be effective in the corporate environment.
